Terms and Conditions for Friendme.ca

Welcome to Friendme.ca. These Terms and Conditions (“Agreement”) govern your access to and use of the website, applications, software, database systems, and services provided by Friendme.ca (collectively, the “Service”).

Acceptance of Terms
By accessing, browsing, registering for, or using the Service, you agree to be bound by this Agreement and our Privacy Policy. If you do not agree to be bound by these terms, you are strictly unauthorized to use the Service and must exit the platform immediately. Your continued use of the Service constitutes an absolute, unconditional, and legally binding agreement between you and Friendme.ca for as long as you maintain an account or access our digital platforms.

Eligibility & User Representation

Age Requirement: You must be at least eighteen (18) years old to create an account or interact with the platform. By registering, you represent and warrant that you meet this age requirement.

Geographic Restriction: Friendme.ca is intended solely for residents of Canada. By creating an account, you represent and warrant that you are a legal resident of Canada and reside within a Canadian province or territory. Accessing or attempting to use the Service from outside Canadian borders is strictly prohibited.

Criminal History: By using Friendme.ca, you represent and warrant that you have never been convicted of an indictable offence (felony) and are not required to register as a sex offender with any provincial, federal, or international government entity.

Background Checks: Friendme.ca does not currently conduct criminal background screenings, identity verifications, or offline character checks on its members. However, we reserve the absolute right to conduct such checks using public records at any time to confirm compliance with these terms, where legally permissible.

Intentional Use & Community Standards
Friendme.ca is built for intentional connections and deeper, respectful conversations. To preserve the integrity of this environment, you explicitly agree that you will not:

Use the service for any illegal purposes or to solicit, encourage, or facilitate illegal acts.

Post, transmit, or distribute unsolicited commercial messages (“spam”), commercial advertisements, affiliate tracking links, or automated scripts that undermine the platform’s mission.

Harass, stalk, intimidate, abuse, defame, or harm other users either on the platform or in real life.

Share intimate, explicit, or pornographic images without explicit, ongoing consent (consistent with the Criminal Code of Canada).

Provide fraudulent, false, or misleading information, or impersonate any person or entity.

Evolution of Business Plan, Services, and Fee Structures
Friendme.ca reserves the absolute right to modify, alter, pivot, or entirely change its business plan, business model, site architecture, and operational monetization strategies at any time, for any reason, entirely at its sole discretion and without prior notice. This includes, but is not limited to:

Transitioning the Service (or features within the Service) from a free model to a paid, subscription-based model.

Modifying membership fee amounts, subscription durations, paywalls, or feature access levels.

Discontinuing or altering specific platform functionalities, interactive systems, or matchmaking parameters.
By creating an account, you grant your full, unconditional, and permanent consent to any such future business changes. You explicitly agree that Friendme.ca, its founders, owners, operators, and staff shall be held entirely free from fault, liability, or financial responsibility for any changes made to the platform’s business model or features. If you disagree with any modifications to the business plan or fee structures, your sole and exclusive remedy is to permanently delete your account and stop using the Service.

User-Generated Content License & Intellectual Property Liability
You retain ownership of all profile text, biography details, photos, and other content you post to Friendme.ca. However, by posting content on the platform, you grant Friendme.ca a non-exclusive, royalty-free, worldwide, transferable, sub-licensable license to host, store, use, display, reproduce, modify, adapt, and distribute your content solely for the purpose of operating, developing, maintaining, promoting, and improving the Service.
You represent and warrant that you own or possess all necessary legal rights to post your content and that it does not violate the intellectual property, copyright, trademark, or privacy rights of any third party. You assume one hundred percent (100%) of all legal and financial liability for the content you upload.

Safety, Personal Responsibility, and Total Liability Release

Risk Acknowledgment: You acknowledge and accept that there are inherent personal and physical risks in communicating with or meeting strangers online. Friendme.ca provides a digital framework for connection, but we do not vet the character, mental health, stability, accuracy, or safety of our users.

Personal Responsibility: You are solely and completely responsible for your interactions with other members. We strongly urge you to follow safety best practices, such as meeting exclusively in populated public places, maintaining control over your own transportation, and informing a trusted contact of your plans.

No Offline Screening or Endorsement: Friendme.ca does not conduct physical, real-world, or offline screenings of its users, nor do we verify the character, background, employment, or statements of users in real life.

Absolute Release of Liability: Friendme.ca, its founders, owners, operators, parent organizations, and staff are entirely, unconditionally, and permanently absolved of any and all liability for actions, misconduct, emotional distress, psychological harm, physical injury, stalking, harassment, theft, fraud, or property damage resulting from offline meetings, phone calls, dates, or interactions organized through or originating from the platform. Users assume one hundred percent (100%) of the risk when transitioning communication from the digital platform to physical meetups.

Privacy & Personal Information Protection and Electronic Documents Act (PIPEDA) Compliance
Your privacy is highly valued. In accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and Alberta’s Personal Information Protection Act (PIPA):

We collect and process only the baseline data necessary to facilitate your connections and protect platform infrastructure.

We do not sell, rent, or trade your personal data to third parties for marketing or advertising purposes.

Disclosure by Law: We reserve the right to disclose your information if required to do so by law, court order, or if we believe in good faith that disclosure is necessary to protect the health, safety, or life of our users, staff, or the general public (such as in cases of suspected abuse, self-harm, or threats of violence).

Third-Party Links, Plugins, and Software
Friendme.ca utilizes third-party infrastructure plugins, software, payment gateways, and may occasionally display links to external websites. These integrations are provided strictly for your convenience and site functionality. Friendme.ca does not endorse, control, monitor, or take responsibility for the content, security, data collection, or privacy practices of any third-party frameworks, websites, or modules. Your interaction with any third-party system is completely at your own risk.

Account Termination, Deletion, and Notification Policy

User-Initiated Account Deletion: You may request the permanent closure and deletion of your account at any time through your account settings panel. Upon submitting a deletion request, your profile will be immediately removed from public view, and your personal data will be permanently purged or anonymized from our active databases in accordance with our Privacy Policy.

Absence of Email Confirmation: To maximize data security and ensure that no further electronic footprint or communication is tied to a closed account, Friendme.ca does not issue an automated email confirmation upon the completion of account deletion. The successful execution of the deletion command inside your user dashboard is final and binding notice of closure.

Finality of Deletion: Once an account is deleted, it cannot be recovered, restored, or reactivated. Any memberships, connections, messages, or communication histories associated with the account will be permanently lost.

Termination by Friendme.ca: We reserve the absolute right to suspend, restrict, or terminate your access to the platform at any time, for any reason, without prior notice or liability, particularly for violations of our “Intentional Connection” community spirit, user complaints, or suspected fraudulent activity.

Refund Policy: Unless otherwise explicitly stated by us, all fees, subscriptions, or charges incurred are non-refundable. Account terminations or cancellations do not entitle the user to a refund for unused portions of a subscription term.

Transfer of Ownership & Sale of Business

Right to Assign and Transfer: Friendme.ca reserves the absolute, unrestricted right to assign, sell, merge, or transfer its business assets, technology platform, user databases, operations, intellectual property, and corporate ownership to a third-party entity (“Successor”) at any time, for any reason, and without prior notice to its users.

Release of Prior Liability: In the event of a change of ownership, sale, or corporate transfer, the Successor shall assume all operational responsibilities, legal obligations, and liabilities under these Terms and Conditions moving forward from the effective date of the transfer.

Complete Indemnification of Original Owners: The original founders, creators, owners, and past operators of Friendme.ca shall be fully, permanently, and unconditionally released from any and all claims, liabilities, damages, losses, or legal disputes arising from the management, security, data practices, content moderation, or general operation of the platform occurring after the official date of transfer to the Successor. By continuing to use Friendme.ca, you explicitly waive any right to bring legal action against the platform’s historical owners for actions or events occurring under new management.

Disclaimer of Warranties
To the maximum extent permitted by applicable law, Friendme.ca is provided on an “as is” and “as available” basis. Friendme.ca expressly disclaims all warranties, representations, or conditions of any kind, whether express, implied, or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, safety, accuracy, continuity, and non-infringement.
We do not guarantee that the Service will be uninterrupted, completely secure, error-free, or free of software vulnerabilities, viruses, or malicious hacks, or that any compatibility or connections made through the platform will meet your expectations or be safe.

Limitation of Liability
To the maximum extent permitted under the laws of the Province of Alberta and the federal laws of Canada:

Direct & Indirect Damages: Friendme.ca, its founders, and its staff shall not be liable for any damages (whether direct, indirect, incidental, special, consequential, or exemplary), including but not limited to loss of profits, loss of data, loss of goodwill, emotional distress, physical harm, or relationship outcomes arising from your use of the service or the conduct of other users.

Verification Disclaimer: While we may introduce tools to verify user information, we do not guarantee the absolute accuracy of such verifications and hold zero liability for incorrectly verified information.

Aggregate Liability Cap: In no event shall Friendme.ca’s total cumulative legal liability exceed the actual price paid by you to Friendme.ca for your account subscription during the twelve (12) months preceding the claim.

Contractual Limitation Period
You explicitly agree that any claim, cause of action, or legal proceeding arising out of or relating to these Terms and Conditions or the use of Friendme.ca must be filed within one (1) year after the cause of action arose. Failure to file a claim within one (1) year constitutes an absolute and permanent waiver of your right to seek legal recourse, notwithstanding any longer statutory limitation periods provided under the laws of Alberta or Canada.

Indemnification
You agree to indemnify, defend, and hold completely harmless Friendme.ca, its affiliates, founders, officers, directors, staff, and contractors from any and all claims, losses, liabilities, expenses, damages, or costs (including reasonable legal fees) arising directly or indirectly out of your misuse of the Service, your violation of this Agreement, your uploaded profile content, or your violation of the statutory or civil rights of any third party.

Governing Law & Dispute Resolution

Governing Law: This Agreement is governed strictly by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any legal disputes, lawsuits, or claims arising from this Agreement or the use of the Service shall be resolved exclusively in the provincial or federal courts located in the City of Calgary, Alberta.

Class Action Waiver: To the maximum extent permitted by the laws of Alberta and Canada, you agree that any legal proceedings to resolve a dispute arising out of or relating to this Agreement will be conducted solely on an individual basis. You explicitly waive your right to participate as a plaintiff, representative, or class member in any purported class action, collective lawsuit, or representative legal proceeding against Friendme.ca or its founders.

Changes to Terms and Policies
Friendme.ca reserves the right to modify, update, or amend these Terms of Service (ToS) and our Privacy Policy at any time, entirely at our sole discretion. We will not issue mass email notifications or platform-wide alerts regarding routine updates; instead, any modifications will be made public by updating the “Effective Date” prominently displayed at the top of this document.
It is the user’s sole responsibility to periodically review this page to stay informed of updates. Your continued use of, access to, or maintenance of an active account on Friendme.ca following the posting of any changes constitutes your absolute, unconditional, and explicit acceptance of the revised terms. If you do not agree to the updated terms, you must immediately discontinue using the website and terminate your account.

Miscellaneous Boilerplate

Severability: If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be severed, and the remaining provisions of this Agreement will remain in full force and effect.

Entire Agreement: These Terms and Conditions, along with our Privacy Policy, constitute the entire, complete agreement between you and Friendme.ca regarding the use of the Service, overriding any prior verbal or written agreements.
